1. Acceptance of Terms

By accessing or using Sylphx ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

The Service is operated by Sylphx Ltd ("we", "us", or "our"). We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

Sylphx is a backend-as-a-service platform providing infrastructure services including but not limited to:

Authentication and user management
Billing and subscription management
Analytics and event tracking
AI model gateway (200+ models)
File storage and CDN
Background jobs and scheduling
Email and push notifications
Feature flags and A/B testing
Webhooks and integrations
Error tracking and monitoring
Gamification and engagement tools

3. Account Registration

To use the Service, you must:

Create an account with accurate, complete information
Maintain the security of your account credentials
Notify us immediately of any unauthorized access
Be at least 18 years old or the age of majority in your jurisdiction

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to use the Service to:

Violate any applicable laws or regulations
Infringe on intellectual property rights of others
Transmit malware, viruses, or harmful code
Engage in unauthorized data collection or scraping
Attempt to gain unauthorized access to systems or data
Interfere with or disrupt the Service or servers
Send spam or unsolicited communications
Impersonate others or misrepresent your affiliation
Use the Service for any illegal, fraudulent, or abusive purpose

5. Payment and Billing

The Service operates on a pay-as-you-go model. By using paid features, you agree to:

Pay all applicable fees based on your usage
Provide accurate billing information
Keep payment methods current and valid
Pay any applicable taxes

We may change pricing with 30 days notice. Continued use after price changes constitutes acceptance. Fees are non-refundable except as required by law or stated in our refund policy.

6. Intellectual Property

Our IP: The Service, including all content, features, and functionality, is owned by Sylphx Ltd and protected by international copyright, trademark, and other intellectual property laws.

Your Content: You retain ownership of content you create or upload. By using the Service, you grant us a limited license to host, store, and process your content as necessary to provide the Service.

Feedback: Any feedback, suggestions, or ideas you provide may be used by us without obligation or compensation.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our data practices as described therein.

You are responsible for ensuring your use of the Service complies with applicable data protection laws, including GDPR and CCPA where applicable.

8. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

Scheduled maintenance (with advance notice when possible)
Emergency repairs or security updates
Factors beyond our reasonable control

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYLPHX LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Sylphx Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Your content or applications built using the Service

11. Termination

You may terminate your account at any time. We may suspend or terminate your access if you:

Violate these Terms
Fail to pay applicable fees
Engage in fraudulent or illegal activity
Pose a security risk to the Service or others

Upon termination, your right to use the Service ceases immediately. You may request data export within 30 days of termination.

12. Governing Law

These Terms are governed by the laws of Hong Kong, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Hong Kong.

13. Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and Sylphx Ltd regarding the Service.
Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
No Waiver: Our failure to enforce any right does not constitute a waiver of that right.
Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
